Terms of Service

By accessing and using Phi Azar's services, website, or engaging with our team, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Phi Azar provides software development, consulting, and technical services including but not limited to:

• Custom software development and product engineering
• AI/ML and GenAI solutions development
• Blockchain and Web3 application development
• API development and system integrations
• Cloud infrastructure and DevOps services
• Security and compliance consulting
• Technical consulting and advisory services

As a client, you agree to:

• Provide accurate and complete information about your project requirements
• Respond promptly to requests for information, feedback, or approvals
• Provide necessary access to systems, data, and resources required for project execution
• Respect intellectual property rights and confidentiality obligations
• Make timely payments as agreed in project contracts
• Comply with all applicable laws and regulations in your jurisdiction

• Payment terms will be specified in individual project agreements
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur additional charges as specified in the agreement
• We reserve the right to suspend services for non-payment
• All prices are exclusive of applicable taxes unless otherwise stated

Both parties agree to maintain strict confidentiality regarding all proprietary and confidential information shared during the course of our engagement. This includes but is not limited to:

• Technical specifications and requirements
• Business strategies and plans
• Customer data and information
• Proprietary algorithms and methodologies
• Financial information

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:

• Uninterrupted or error-free operation of delivered software
• Compatibility with all hardware and software configurations
• Results or outcomes beyond our direct control
• Third-party software or services

Either party may terminate services with written notice as specified in the project agreement. Upon termination:

• All work completed up to the termination date will be invoiced
• Confidentiality obligations will continue to apply
• Client will receive all deliverables completed to date
• Each party will return or destroy confidential information

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

We reserve the right to modify these terms at any time. We will notify clients of material changes via email or through our website. Continued use of our services after changes constitutes acceptance of the new terms.
